A holding company is a parent LLC that owns other companies. Each company you form costs its own package, the $100 Wyoming fee, and its own plan from $14.99 a month. Professional is $199 per company and includes an EIN, the tax ID the IRS issues to a business.

  • Professional, $199 per company. Includes an EIN.
  • International+, $399. For owners outside the US. Includes a foreign EIN, an Apostille, and one subsidiary or one foreign registration, not both. The subsidiary is a second checkout after the parent's filing is in progress or complete.
  • Private filing in every package. Wyoming's Articles of Organization do not ask for member or manager names.
  • Business Success Advisors guide you through setup. Call +1 (307) 683-0983.

What a Wyoming holding company costs

This guide prices each company on its own, so you can add up your structure before you order. Every company needs three things: a formation package, the $100 Wyoming filing fee, and a monthly plan. The plan holds the registered agent and starts at $14.99 a month. A registered agent is the person or company that receives legal notices for your business.

The yearly cost after year one is the plan ($179.88 per company) plus Wyoming's annual license tax of at least $60 per company. It is more if a company holds large Wyoming assets. State fees are set by the Wyoming Secretary of State.

The International+ subsidiary is ordered as a second checkout once the parent's filing is in progress or complete. It carries no service fee and the first month of its plan is free. The $100 Wyoming fee is still due, and after that month it pays its own plan. One International+ package covers one subsidiary or one foreign registration, not both. An EIN for the subsidiary may be extra.

A third company costs the same as the second would at standard rates: a package ($99, $199 or $399), the $100 Wyoming fee, and its own plan from $14.99 a month.

What we form and what you receive

The bank decides whether to open your account, not us. Our partner banks can't serve owners from every country, and their lists change, so check them before you order.

  • Relay can't open an account for a business owner who holds citizenship or residency in a country on its prohibited list. As of September 2026 that list is: Afghanistan, Belarus, Bosnia and Herzegovina, Burkina Faso, Burma (Myanmar), Burundi, Cambodia, Central African Republic, Cuba, Democratic Republic of the Congo, Ethiopia, Guinea-Bissau, Haiti, Iran, Iraq, Lebanon, Libya, Mali, Nicaragua, Nigeria, North Korea, Pakistan, Russia, Somalia, South Sudan, Sudan, Syria, Ukraine, Venezuela, Yemen and Zimbabwe. See Relay's current list
  • Lili accepts owners who are not US citizens only if they hold citizenship from one of 20 countries. As of September 2026 they are: Argentina, Australia, Bolivia, Brazil, Canada, Chile, China, Colombia, Ecuador, India, Israel, Mexico, New Zealand, Norway, Panama, Paraguay, Peru, the United Arab Emirates, the United Kingdom and Uruguay. Every owner with 25% or more of the company must qualify. See Lili's current list

If you're a citizen or resident of a country on Relay's list, and you're not a US citizen or a citizen of one of Lili's countries, neither partner can open an account for you today. Your LLC, EIN and formation documents don't depend on bank approval.

Why owners put their holding company in Wyoming

Wyoming appeals to owners for three reasons: how its law treats an LLC's owners, what the formation filing shows, and its tax setup.

Asset protection.

Wyoming law makes a charging order the creditor's only remedy against an owner's LLC interest, and the statute expressly includes single-member LLCs. Details below.

Privacy.

Wyoming's Articles of Organization do not ask for member or manager names. An organizer signs the Articles, and the registered agent is listed. Private filing is included in every package.

Taxes and fees.

Wyoming has no state income tax. Each company pays an annual license tax of at least $60, more if its Wyoming assets are large.

Move your existing LLCs under a Wyoming holding company

Moving an existing LLC under a new holding company is a separate order from forming the holding company.

Form your Wyoming holding company.

It is priced like any other company, as shown above.

Order the Assignment of Interest package ($100).

It includes an operating agreement, an assignment of interest agreement, and a subsidiary consent to change a member.

Check your agreements.

Your company generally keeps its contracts and accounts when its owner changes, but each agreement's terms control, so check loans and leases first.

Ask a Business Success Advisor at +1 (307) 683-0983 how to order the Assignment of Interest package, whether it is available for your company, and what it costs if you are moving more than one company or a company formed in another state.

What customers say

“I wanted to structure my LLC's to be managed by my holding company, and Sarah Curren was extremely helpful.”

“For someone outside of the USA this was insanely easy, extremely well done and great information online, via email and via phone.”

One customer's experience. A foreign EIN can take over four weeks, and the bank decides whether to open an account.

How the Wyoming double LLC structure works

A Wyoming double LLC is a holding company on top, with your operating or asset companies each in their own LLC underneath.

Form the holding company.

You start with a Wyoming LLC that will own your other companies.

Form each company underneath it.

Your business, property or IP can each sit in its own LLC. Each one is its own order, with its own package, state fee and plan. With International+, the first subsidiary is ordered after the parent is filed.

Set the ownership.

The holding company can be the member, or owner, of each company underneath. Each company has its own operating agreement.

Keep each company separate.

Each company has its own state fee, plan, registered agent and annual report.

Asset protection built into the structure

An LLC's debts are its own, not its members'. If an owner is sued personally, Wyoming law makes a charging order the creditor's only remedy against that owner's LLC interest, including for a single-member LLC. A charging order is the court order a creditor of an owner uses to reach that owner's LLC interest.

In a holding structure, each company is designed to keep its own debts separate. No structure removes every risk. A holding company does not replace insurance, and it does not change what you owe personally. Wyoming's Limited Liability Company Act is on the Wyoming Secretary of State site, sections 17-29-304 and 17-29-503.

Holding Company 101: the basics

What is a holding company?

A holding company is a parent company that owns other businesses or assets without running them day to day. Each company it owns is a separate legal entity underneath it.

Why do owners use one?

Owners use a holding company to keep businesses or assets in separate companies, so each company's debts stay its own. No structure removes every risk.

Frequently asked questions

Each company costs its own package, the $100 Wyoming fee, and its own plan from $14.99 a month. Professional ($199) includes an EIN. A parent and one subsidiary on Professional packages and Standard plans costs $957.76 in year one ($398 + $200 + $359.76), then $479.76 a year, more if Wyoming assets are large. Starter ($99) is the lower price for one LLC with no EIN.

International+ ($399) includes one subsidiary or one foreign registration, not both. You order it as a second checkout after the parent's filing is in progress or complete. The account owner opens the parent in the client portal and uses Redeem Services. The subsidiary has no service fee and its first month of plan is free. The $100 Wyoming fee is still due.

A third company costs standard rates: a package ($99, $199 or $399), the $100 Wyoming fee, and its own plan from $14.99 a month.

A holding company is a parent company that owns other businesses or assets without running them day to day. Each company it owns is a separate legal entity underneath it.

People often consider a holding company when they own more than one business or hold real estate or other valuable assets. Whether it fits a specific situation depends on facts we do not have; a licensed professional can advise on that.

Wyoming's statute makes the charging order the exclusive remedy against an owner's LLC interest, and expressly includes single-member LLCs. Wyoming also has no state income tax, and its Articles of Organization do not ask for member or manager names.

Typically the structure is pass-through, but the tax treatment depends on how the companies are set up and elected. We do not give tax advice.

Private filing is included in every package. Wyoming's Articles do not ask for member or manager names. Privacy here means the public record. The IRS, your bank, and a court order can still require your information.

Your filing will be submitted within 24 business hours or we'll refund your payment. That covers submitting the filing, not state approval and not a subsidiary ordered later. Wyoming sets its own processing time, and its Articles of Organization form says up to 15 business days.

We provide bank application support through our partners. The bank decides whether to open an account, not us. Our partner banks cannot serve owners from every country, so check the country notice on this page before you order.

Moving an existing LLC is a separate order. The Assignment of Interest package ($100) includes an operating agreement, an assignment of interest agreement, and a subsidiary consent to change a member. Ask a Business Success Advisor whether it is available for your company.
