In general, if business similar to consulting or e-commerce is being conducted out of a home office, the owners would not need to register in any state as a foreign entity. If the business is face-to-face with the general public, has employees, a brick and mortar location, income property, or requires permitting, licensing or registration in a particular state, the business should have an entity in that state, whether it is a fresh LLC or a foreign entity. We would generally recommend a fresh LLC, but we have clients who do both.
